***ARTICLE 1: Name

The name of this association is the Warren Elementary Parent Teacher Association (PTA) of Marietta, Ohio. It is a local PTA unit organized under the authority of the Ohio Congress of Parents and Teachers (the Ohio PTA) a branch of the National Congress of Parents and Teachers (the National PTA)

**ARTICLE II: Articles of Organization

The "Articles of Organization" of a local PTA include (a) the bylaws of such organization and (b) the certificate of incorporation or articles of incorporation of such organization (in cases in which the organization is a corporation) or the articles of association by whatever name (in cases in which the organization exists as an unincorporated association).

**ARTICLE III: PURPOSES

Section 1. The Objects of the association, in common with the Objects of the National PTA are:

a. To promote the welfare of children and youth in home, school, community and place of worship.

b. To raise the standards of home life.

c. To secure adequate laws for the care and protection of children and youth.

d. To bring into closer relation the home and school, that parents and teachers may cooperate intelligently in the education of children and youth.

e. To develop between educators and the general public such united efforts as will secure for all children and youth the highest advantages in physical, mental, social and spiritual education,

Section 2. The Objects of this association are promoted, in cooperation with the Ohio PTA and the National PTA, through an educational program directed towards parents, teachers, and the general public: are developed through conferences, committees, projects, and programs and are governed and qualified by the basic policies set forth in ARTICLE IV.

**ARTICLE IV: BASIC POLICIES

The following are basic policies of this association:

a. The association shall be noncommercial, nonsectarian, and nonpartisan.

b. The name of the association or the names of any members in their official capacities shall not be used in any connection with a commercial concern or with any partisan interest or for any purpose not appropriately related to promotion of the Objects of the association.

c. The association shall not -- directly or indirectly -- participate or intervene (in any way, including the publishing or distribution of statements) in any political campaign on behalf of, or in opposition to, any candidate for any public office; or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise.

d. The association shall work with the schools to provide quality education for all children and youth and shall seek to participate in the decision-making process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people on boards of education.

e. The association may cooperate with other organizations and agencies concerned with child welfare, but persons representing the association in such matters shall make no commitments that bind the association.

f. In the event of the dissolution of the association, its assets shall be distributed for one or more of the exempt purposes specified in Section 501 (c) (3) of the Internal Revenue Code of 1954 as from time to time amended.

**ARTICLE V: MEMBERSHIP AND DUES

Section 1. Every individual who is a member of this PTA is, by virtue of that fact, a member of the National PTA and of the Ohio PTA by which this local PTA is chartered, and is entitled to al benefits of such membership.

Section 2. Membership in this PTA shall be made available without regard to race, color, creed, or national origin, under such rules and regulations, not in conflict with the provisions of the National PTA Bylaws, as may be prescribed in the bylaws of this PTA, to any individual who subscribes to the objects and basic policies of the National PTA.

Section 3. The association shall conduct an annual enrollment of members, but persons may be admitted to membership at any time.

Section 4. Each member of the association shall pay annual dues as determined by the executive board to the association. Such annual dues include the portion of the dollar and twenty five cents ($1.25) per member payable to the Ohio PTA and the portion of fifty (50) cents per member payable to the National PTA.

Section 5. The Ohio and National PTA portion of the dues paid by each member of the association shall be set aside by the association and remitted to the Ohio PTA through such channels and at such times as the Ohio Bylaws may provide. (Each state PTA is responsible for payment to the National PTA of the national portion of dues paid by members of the association.} the remittance to the Ohio PTA shall be accompanied by a report, in such form as may be required by the Ohio PTA, showing the name and address of the president of the association, the amount of dues collected during the period covered by the report, and the members of the association.

Section 6. Only members of the association shall be eligible to participate in the business meetings or to serve in any of its selective or appointive position.

***Section 7. The state and national portion of the dues paid by each member of the association shall be set aside by the association and may be remitted to the Ohio PTA office in Columbus at the beginning of each school year. The initial payment is due no later than November 30. Dues received thereafter shall be forwarded monthly. Local unit dues shall be accompanied by a list of unit members.

***Section 8. This association shall be expected to pay dues to the Ohio PTA office by December 31, or shall be considered delinquent. The association may be reinstated the next year upon payment of dues. Delinquent units shall not be entitled to representation at the state convention.

ARTICLE VI: OFFICERS AND THEIR ELECTION

**Section 1. Each officer of the PTA shall be a member of this PTA.

Section 2. Officers and their elections:

***a. The officers of this association shall consist of a President, a vice-President, a Secretary and a Treasurer.

b. There shall be 0 unit delegates and 0 alternates to council.

***c. Officers shall be elected by ballot annually in the month of April. However, if there is but one nominee for any elective position, it shall be in order to move that the secretary cast the elective ballot of the association for the nominee, or the vote may be by voice.

d. Officers shall assume their official duties following the close of the annual meeting in May and shall serve for a term of one (1) year or until the election of their successors.

e. A person shall not be eligible to serve more than two (2) consecutive terms in the same office. A person who has served more than half of a term shall be credited with having served the term.

Section 3. Nominating Committee:

a. There shall be a nominating committee composed of three (3) members, one (1) of whom shall be elected by the executive board from its body, and two (2) of whom shall be elected by the association at a regular PTA meeting at least one (1) month prior to the election. The committee shall elect its own chairman.

b. The nominating committee shall nominate one (1) eligible person for each office to be filled and report its nominees at the regular PTA meeting in April at which time additional nominations may be made from the floor.

c. Only those persons who have signified their consent to serve, if elected, shall be nominated for or elected to such offices.

Section 4. Vacancies:

a. A vacancy occurring in any elective position shall be filled for the unexpired term by a person elected by a majority vote of the remaining members of the executive board, notice of such election having been given. In case a vacancy occurs in the office of President, the Vice-President shall serve notice of the election.

ARTICLE VII: DUTIES OF OFFICERS AND DELEGATES

Section 1. The President shall preside at all meetings of the association and of the executive board; shall perform such other duties as may be prescribed in these bylaws or assigned to him by the association or by the executive board and shall coordinate the work of the officers and committees of the association in order that the Objects may be promoted.

Section 2. The Vice-President shall act as aide to the President and shall perform the duties of the President in the absence or inability of that officer to act.

Section 3. The Secretary shall record the minutes of all meetings of the association and of the executive board and shall perform such other duties as may be delegated to him.

Section 4.

a. The Treasurer shall have custody of all of the funds of the association; shall keep a full and accurate account of receipts and expenditures, and shall make disbursements in accordance with the approved budget, as authorized by the association, the executive board or a special committee.

b. The Treasurer shall present a financial statement at every meeting of the association and at other times when requested by the executive board and shall make a full report at the annual meeting.

***c. The Treasurer shall be responsible for the maintenance of books of account and such records as conform to the requirements of Article XI, Section 3 and 4 of these bylaws. The Treasurer shall forward state and national dues to the Ohio PTA office at the beginning of each school year. Dues received thereafter shall be forwarded monthly.

***d. The Treasurer's accounts shall be examined at least once a year by an auditor or an auditing committee of not less than three (3) members, who, satisfied that the Treasurer's report is correct, shall sign a statement of that fact at the end of the report. The auditing committee shall be appointed by the executive board at least two (2) weeks before the annual meeting.

***e. Unit Treasurers should secure a non-profit institutional fidelity bonding policy. The expenditure involved in securing the bond is a legitimate expense for the unit.

f. The auditing committee shall submit its signed report for the approval of the association at the regular September meeting.

Section 5. All officers shall:

a. Perform the duties prescribed in the parliamentary authority in addition to those outlined in these bylaws and those assigned from time to time.

b. Deliver to their successors all official material no later than fifteen (15) days following the installation of their successor, or by the close of the school year.

ARTICLE VIII: EXECUTIVE BOARD

Section 1. The executive board shall consist of the officers of the association, the chairman of standing committees, and the principal of the school or a representative appointed by him. The chairmen of the standing committees shall be selected by the officers of the association and the principal of the school or his representative. The members of the executive board shall serve until the election of their successors.

Section 2. The duties of the executive board shall be:

a. To transact necessary business in the intervals between association meetings and such other business as my be referred to it by the association.

b. To create standing committees.

c. To approve the plans of work of the standing committees.

d. To present a report at the regular meetings of the association.

e. To appoint an auditor or an auditing committee at least two (2) weeks before the annual meeting to audit the treasurer=s accounts.

f. To prepare and submit to the association for approval a budget for the fiscal year.

g. To approve routine bills within the limits of the budget.

h. To approve expenditures of funds not to exceed $300.00 per project without approval of the membership.

i. To fill vacancies in elective and appointive positions.

Section 3. Regular meetings of the executive board shall be held monthly during the school year, the time to be fixed by the board at its first meeting of the year. A majority of the executive board members shall constitute a quorum. Special meetings of the executive board may be called by the President or by majority of the member of the board.

ARTICLE IX: MEETINGS

Section 1. Regular meetings of the association shall be held on the second Tuesday of each month during the school year, unless otherwise provided by the association or by the executive board. Seven calendar days notice shall be give of change of date.

Section 2. Special meetings may be called by the executive board, as deemed necessary.

Section 3. The annual meeting shall be in May.

Section 4. The officers and chairmen shall submit yearly reports at the annual meeting.

Section 5. One tenth of the members shall constitute a quorum for the transaction of business in any meeting of the association.

Section 6. The privilege of holding office, introducing motions, debating and voting shall be limited to members of the association whose current dues are paid.

Section 7. This unit shall be entitled to be represented at the annual Ohio PTA Convention by the President or his representative, and accredited delegates, provided the unit's dues are not delinquent.

Section 8. This unit shall be entitled to be represented at the District Eleven (11) Conference, and Region Two (2) Conference.

ARTICLE X: STANDING AND SPECIAL COMMITTEES

Section 1. The executive board may create such standing committees as it may deem necessary to promote the Objects and carry on the work of the association. The term of each chairman shall be one year and until the selection of his successor.

Section 2. The chairman of each standing committee shall present a plan of work to the executive board for approval. No committee work shall be undertaken without the consent of the executive board.

Section 3. The power to form special committees and appoint their members rests with the association (unless bylaws make other provisions or unless this power is delegated by the association to the executive board or the President).

Section 4. The President and the school principal shall be an ex-officio member of all committees except the nominating committee.

**ARTICLE XI: RELATIONSHIPS WITH NATIONAL PTA AND OHIO PTA

Section 1. This association is a constituent organization of the National PTA. It is organized and chartered by the Ohio PTA under the authority of the National PTA.

Section 2. The bylaws of this association are subject to the approval of the Ohio PTA, and shall not conflict with the bylaws of the National PTA and the bylaws of the Ohio PTA. Any provision of the bylaws of the association that conflicts with the bylaws of the National PTA or the bylaws of the Ohio PTA shall be null and void.

Section 3. The association shall keep such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts, and disbursements of the association, including specifically, the number of its members, the dues collected from its members, and the amount of dues remitted to the Ohio PTA. Such books of account and records shall at all reasonable times be open to inspection by an authorized representative of the Ohio PTA or, where directed by the committee on state and national relationships, by duly authorized representative of the National PTA.

***Section 4. Each local association, in accordance with the January 1973 ruling by the Internal Revenue Service (IRS) shall:

a. File an annual financial report with the Ohio PTA office.

b. File a Form 990 if gross receipts exceed $25,000 annually.

c. Notify the Ohio PTA office of its Employer Identification Number. If no number is presently available, the local unit must apply for one.

d. Notify the Ohio PTA office of any previous ruling received from the Internal Revenue Service.

e. File an application with the Ohio PTA office for a separate ruling from the Internal Revenue Service if the local unit was not named in the original 1971-72 Ohio PTA approved list for group exemption by the IRS, or approved in a subsequent ruling.

Section 5. The status of this association as a local PTA shall be subject to termination, and its Charter as a local PTA shall be subject to withdrawal in the manner and under the circumstances provided in the bylaws of the Ohio PTA.

Section 6. This association is obligated, upon withdrawal of its Charter by the Ohio PTA: (a) to yield up and surrender all its books and records and all of its assets and property to the Ohio PTA or to another local PTA organized under the authority of the Ohio PTA; (b) to cease and desist from the further use of any name that implies or connotes association with the National PTA or the Ohio PTA or status as a constituent organization of the National PTA; and (c) to carry out promptly, under the supervision and direction of the Ohio PTA, all proceedings necessary or desirable for the purpose of dissolving this association.

Section 7. This association shall collect dues from its members and shall remit a portion thereof to the Ohio PTA as provided in Article V.

***Section 8. The Ohio PTA shall recognize only one local association of the same type in a school.

***Section 9. Any unit disbanding or withdrawing from the Ohio PTA shall:

a. Notify its District Director and the Ohio PTA office.

b. Be governed by the disbanding procedure established by the Board of Managers of the Ohio PTA.

***ARTICLE XII: FISCAL YEAR

This fiscal year of the association shall be from July 1 through June 30. (The Internal Revenue Service states that organizations covered under a blanket group exemption must have the same fiscal year.)

**ARTICLE XIII: PARLIAMENTARY AUTHORITY

Robert's Rules of Order Newly Revised shall govern the association in all cases in which they are applicable and in which they are not in conflict with these bylaws and those of the national PTA and the Ohio PTA.

**ARTICLE XIV: AMENDMENTS

Section 1.

a. These bylaws may be amended at any regular meeting of the association by a two-thirds (2/3) vote of the members present and voting, provided that notice of the proposed amendment shall have been given at the previous meeting and that the proposed amendment shall be subject to approval of the Ohio PTA.

b. A committee may be appointed to submit a revised set of bylaws as a substitute for the existing bylaws only by a majority vole at a meeting of the association, or by a two-thirds (2/3) vote of the executive board. The requirements for adoption of a revised set of bylaws shall be the same as in the case of an amendment.

c. Submission of amendments or revised bylaws for approval by the Ohio PTA Chairman of Procedure and Unit Bylaws shall be in accordance with the bylaws or regulations of the Ohio PTA.

Section 2.

a. The association shall include in its bylaws provisions corresponding to the provisions of the bylaws of the National PTA that are identified therein by a double star. The adoption by the National PTA of an amendment to any of the "double-starred" provisions of its bylaws shall serve automatically and without the requirement of further action by the association to amend correspondingly the bylaws of the association. Notwithstanding the automatic character of the amending process, the association shall take action promptly to incorporate such amendments in its bylaws.

***b. The association shall include in its bylaws provisions corresponding to the provisions of the bylaws of the Ohio PTA that are identified therein by a triple star. The adoption by the Ohio PTA of an amendment to any of the "triple-starred" provisions of its bylaws shall serve automatically and without the requirement of further action by the association to amend correspondingly the bylaws of the association. The local association shall promptly incorporate such amendments in its respective bylaws.
